You are responsible for maintaining the confidentiality of any login credentials associated with your account.

2. Client Data

You retain ownership of all business data, documents, or content you provide to us (“Client Data”).

By submitting Client Data, you grant Filio Labs a limited license to use, process, and store it solely for the purpose of delivering the Services.

You are responsible for ensuring that you have the legal right to share Client Data with us.

3. Payment & Billing

Fees for Services will be set forth in a written proposal, contract, or invoice.

Payments are due according to the terms listed in the invoice or contract.

Late payments may result in service suspension or interest charges as permitted by Florida law.

All fees are non-refundable, unless otherwise agreed in writing.

4. Intellectual Property

All intellectual property related to Filio Labs’ methodologies, AI models, software, website content, and branding remain our exclusive property.

You may not copy, distribute, or reverse-engineer our technology without prior written consent.

5. Confidentiality

We agree to maintain the confidentiality of Client Data and business information shared during the course of our Services.

You agree not to disclose any proprietary methods, strategies, or non-public information about our Services.

6. Disclaimers

Our Services are provided on an “as-is” and “as-available” basis.

Filio Labs makes no warranties, express or implied, regarding accuracy, reliability, or fitness for a particular purpose.

While we take reasonable steps to protect data, we do not guarantee that our Services will be uninterrupted, error-free, or completely secure.

7. Limitation of Liability

To the fullest extent permitted by Florida law:

Filio Labs shall not be liable for indirect, incidental, or consequential damages arising from the use of our Services.

Our total liability for any claim shall not exceed the amount paid by you for the Services in the 3 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Filio Labs, its officers, employees, and partners from any claims, damages, or expenses arising from:

Your misuse of the Services.

Your violation of these Terms.

Your infringement of any third-party rights.

9. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or non-payment.

You may terminate Services by providing written notice, subject to the payment terms of your contract.

10. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Broward County, Florida.

11. Changes to Terms

We may update these Terms from time to time. Updates will be posted on our website with a revised “Last Updated” date. Continued use of the Services after updates constitutes acceptance of the new Terms.
